ZAMA TERMS OF SERVICE
Zama Pay is a product and service platform developed and operated by OohBit Innovations Limited, a company incorporated in the United Republic of Tanzania. These Terms of Service ("Terms") constitute a comprehensive, legally binding agreement between you and OohBit Innovations Limited, governing your access to and use of the Zama digital platform, mobile services, software applications, APIs, features, content, and related services (collectively, the "Platform"). The Platform is accessible through www.zamapay.me and other channels as designated by Zama, and it empowers users to manage payments, digital storefronts, inventory, and customer engagement tools primarily integrated with WhatsApp and mobile money operators.
By registering an account, accessing, or using any part of the Platform, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must discontinue using the Platform immediately.
1. ELIGIBILITY
To use the Platform, you must meet the following minimum requirements:
- Be at least 18 years of age;
- Be legally capable of entering into binding contracts under the laws of the United Republic of Tanzania;
- Own or represent a business entity with legal status recognized by Tanzanian law (if applicable);
- Possess a valid mobile number and access to either a mobile money account or a Tanzanian bank account for receiving payments and managing transactions;
- Agree to the collection and use of your personal and business data under our Privacy Policy.
Zama reserves the right to reject, suspend, or terminate any account at our discretion if eligibility criteria are not satisfied or are later violated.
2. ACCOUNT REGISTRATION AND MANAGEMENT
To gain full access to Platform features, users must:
- Register an account with accurate, current, and complete information;
- Create secure login credentials (username and password);
- Update information regularly to maintain its accuracy;
- Be fully responsible for all activity on the account.
Zama will not be responsible for unauthorized access resulting from the user's failure to safeguard credentials.
Signing Up on Behalf of an Employer or Entity
If you are using the Platform on behalf of a company or other legal entity, you represent and warrant that:
- You have full legal authority to bind that entity to these Terms;
- The entity is responsible for all activities under its account;
- You agree to these Terms on behalf of the entity.
3. ZAMA'S RIGHTS AND PLATFORM OWNERSHIP
Zama reserves and retains full rights to:
- Modify, update, or discontinue any part of the Platform with or without notice;
- Enforce compliance through warnings, account restrictions, and termination;
- Collect and analyse usage data for improvement and regulatory compliance;
- Monitor user content and suspend accounts that violate acceptable use policies;
- Cooperate with law enforcement and regulatory bodies as required.
Zama also reserves the right to develop new features, change access terms, limit functionalities to specific user groups, and charge for premium services.
4. PLATFORM SERVICES OVERVIEW
Zama offers a suite of services designed to support digital commerce and financial inclusion:
- Mobile money and bank account integration for payments, receipts, and settlements;
- Custom digital storefronts accessible and manageable via WhatsApp;
- Inventory and catalog tools for product uploads and real-time stock updates;
- Communication tools for managing customer engagement and order processing;
- Performance dashboards with analytics on sales, customer behavior, and operational insights.
Zama does not offer financial advice or banking services. It acts as an intermediary by integrating third-party services to facilitate commerce.
5. STORE OWNER RESPONSIBILITIES
Users who operate digital stores or service profiles through the Platform must:
- Clearly disclose product specifications, prices, availability, and delivery terms;
- Abide by laws governing trade, advertising, digital commerce, and consumer protection;
- Maintain professionalism in customer interaction and order fulfillment;
- Assume responsibility for delivery errors, refunds, and customer service;
- Ensure compliance with licensing, tax reporting, and recordkeeping obligations.
Zama shall not mediate in disputes between customers and sellers unless abuse or fraud is suspected.
6. ACCEPTABLE USE AND USER CONDUCT
Users must use the Platform lawfully and respectfully. You must not:
- Create multiple accounts for fraudulent gains;
- Use bots, scrapers, or automation to manipulate transactions or data;
- Post, sell, or promote prohibited or counterfeit goods and services;
- Violate the rights of others including intellectual property or personal data;
- Upload malicious code, conduct phishing attacks, or disrupt platform functionality.
We may take enforcement actions such as warning notices, access limitations, or permanent bans against violators.
7. INTELLECTUAL PROPERTY
Zama owns and retains all rights, title, and interest in:
- The Platform interface, underlying code, databases, and algorithms;
- The Zama brand, logos, product names, and service marks;
- All original content created by Zama and its affiliates.
Users retain ownership of content they upload but grant Zama a perpetual, royalty-free license to use, modify, host, and display such content solely to deliver platform services.
You may not:
- Use any Zama intellectual property without written permission;
- Copy, reverse-engineer, decompile, or attempt to access source code;
- Create derivative works, resell, or mirror platform functionality without consent.
8. FEES, CHARGES, AND TAXES
Zama may charge fees for services, which may include:
- Transactional processing fees;
- Premium account or feature subscriptions;
- Fees for integration with third-party services (e.g., SMS, payment APIs).
Fees are displayed in your account dashboard. Users are responsible for all transaction costs, mobile operator charges, bank processing fees, and taxes due (including VAT and withholding taxes). Zama reserves the right to revise its pricing structure with reasonable notice.
9. THIRD-PARTY PROVIDERS
Zama partners with independent third parties to provide core services including:
- Payment processors and financial institutions (e.g., Vodacom, Airtel, Tigo, Halotel, and Tanzanian banks);
- WhatsApp Business API providers and SMS gateways;
- Web hosting, cloud storage, and analytics platforms.
We are not responsible for third-party service availability, performance, or breach of terms. Your use of such services is at your own risk and governed by their respective policies.
10. TERMINATION OF SERVICE
Zama may, at its sole discretion and without liability, terminate or suspend your account for:
- Repeated violations of these Terms;
- Engagement in illegal or unethical activity;
- Non-payment of applicable fees;
- Actions that compromise platform security or operational integrity.
You may deactivate your account by written request. We will retain data as necessary to comply with regulations and resolve any outstanding matters.
11. LIMITATION OF LIABILITY
Zama is not liable for:
- Losses arising from disruptions or errors on the Platform;
- Missed payments, delays, or service failures from third-party integrations;
- Indirect, incidental, punitive, or consequential damages;
- Loss of data, goodwill, reputation, or business opportunities.
Our total liability under these Terms is capped at the total amount of service fees you have paid to us in the 6 months preceding a claim.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Zama, its affiliates, directors, employees, and contractors from any claims, liabilities, losses, and expenses, including legal fees, resulting from:
- Your use or misuse of the Platform;
- Your violation of these Terms or applicable laws;
- Content you upload or activities conducted through your account;
- Third-party claims arising from your business or store operations.
13. MODIFICATION OF TERMS
Zama reserves the right to revise these Terms periodically. Any material changes will be:
- Posted on our Platform with an updated "Effective Date";
- Communicated to registered users via email or platform notifications.
Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
14. DISPUTE RESOLUTION
In case of disputes between you and Zama:
- We encourage resolution through our customer support channel;
- If unresolved, parties may pursue mediation or arbitration under Tanzanian law;
- Courts of competent jurisdiction in Tanzania shall have the final authority over unresolved legal matters.
15. FORCE MAJEURE
Zama shall not be held liable for delays, interruptions, or failures in performance resulting from acts of God, natural disasters, government regulations, war, civil disturbances, cyberattacks, labour disputes, or other causes beyond our reasonable control.
16. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy and any written guidelines or service-level agreements issued by Zama, constitute the entire agreement between the user and Zama, superseding all prior communications and understandings.
